NO PURCHASE IS NECESSARY TO ENTER OR TO WIN

1. ELIGIBILITY.  SQUIRE’s Fast Track to Success (the “Contest”) is open only to legal residents of the 50 United States (or the District of Columbia) who are 18 years of age or older, have a valid driver’s license issued by one of the 50 United States, and who are owners of a barbershop.  SQUIRE will use your email address and other information you provide for eligibility and notification purposes, so be sure your application is accurate.  Employees and non-employee workers of SQUIRE and its affiliates are not eligible to enter or to win any prize in this Contest.  SQUIRE, its subsidiaries, affiliates, shareholders, directors, officers, agents, representatives and employees (collectively, the “SQUIRE Parties”) as well as Las Vegas Motorsports Park, LLC d/b/a SpeedVegas (“SpeedVegas”) will have no liability or responsibility for any claim arising in connection with the participation in this Contest or the prize awarded.

3. AGREEMENT TO OFFICIAL CONTEST RULES:    By entering and participating in the Contest, entrant fully and unconditionally agrees to and accepts all of these Official Contest Rules and the decisions of SQUIRE and SpeedVegas, which are final and binding in all matters related to the Contest.
4. PROMOTION PERIOD:  The Contest begins at 3:00pm Eastern Time (“ET”), August 18, 2023 and ends at 11:59pm ET, September 8, 2023 (the “Promotion Period”). SQUIRE’s designated computer is the official time-keeping device for the Contest.
5. HOW TO ENTER:  During the Promotion Period, visit https://pages.getsquire.com/LV-VIP-Driving-Experience-Terms-and-Conditions_Las-Vegas-Driving-Experience-TC.html.  Follow the links and instructions to create and submit an application.  Limit 1 entry per person.  Limit 1 entry per barbershop, meaning if a barbershop has more than 1 owner, then only 1 owner may enter.  Multiple entrants are not permitted to share the same email address.  Any attempt by any entrant to obtain more than one entry by using multiple/different email addresses, identities, applications or any other methods will void that entrant’s entry and that entrant may be disqualified.  Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, promotion entry services) will void all plays by that entrant. In the event of a dispute as to any entry, the authorized account holder of the email address associated with the application used to apply will be deemed the entrant.  The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.
6. ALL POTENTIAL WINNING APPLICATIONS ARE SUBJECT TO VERIFICATION BY SQUIRE, WHOSE DECISIONS ARE FINAL.  AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF ENTRANT RECEIVES AN EMAIL MESSAGE SAYING HE OR SHE WON UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND THE POTENTIAL WINNING APPLICATION HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.  ANY APPLICATION THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE APPLICATION, IS VOID AND WILL NOT BE HONORED.
7. CONTEST PRIZE SELECTION AND VERIFICATION OF POTENTIAL WINNERS:  Potential winners must comply with all terms and conditions of these Official Contest Rules.  Winning is contingent upon fulfilling all requirements.  SQUIRE is responsible for all decisions as to the administration and operation of the Contest and the selection of winners is final and binding.  If you are one of the first 40 entrants to apply, you will be a potential winner of the prize indicated. Each potential winner of the prize will be required to sign and return to SQUIRE, within 5 calendar days of the date notice or attempted notice is sent, a Waiver of Liability and Publicity Release (except where prohibited by law) in order to claim their prize and to fulfill any such other requirements as determined by SQUIRE.  If a potential winner fails to provide the Waiver of Liability and Publicity Release within 5 calendar days of the date of notice or attempted notice, they may be disqualified and forfeit the prize. If a potential winner cannot be contacted, they forfeit the prize.  If a potential winner fails to follow the instructions, rules and conditions on how to claim the prize, they forfeit the prize. If a potential winner forfeits the prize or is disqualified for any reason, SQUIRE may, in its sole discretion, select an alternate winner from among all remaining eligible applications.   If the alternate potential winners are disqualified, the applicable prize will not be awarded. A potential winner does not become a “winner” until they have successfully claimed the prize. 
8. PRIZE:  
1. 40 Premium Supercar Driving Experience Package: 1 Premium Supercar Driving Experience Package awarded to each winner at SpeedVegas Driving Center located at  14200 S Las Vegas Blvd, Las Vegas, NV 89054 during the time slot communicated by SQUIRE to the winners upon notification. Approximate Retail Value (“ARV”): $349.
9. For All Prizes: No substitution, exchange or transfer of prize by any winner. SQUIRE reserves the right to substitute any prize for one of equal or greater value.  The number of prizes available to be won will diminish as they are awarded.  Each winner is responsible for all taxes and fees associated with prize receipt and/or use.  Limit 1 prize per person.  Total ARV of all prizes: $17,450.
10. HOW TO CLAIM A PRIZE:  At the time of notification, each potential winner will receive instructions on how to claim the prize, including but not limited to, the exact time and location for when and where the winner needs to be physically present in order to claim the prize.  The Supercar Driving Experience is provided by SpeedVegas.  Each potential winner must comply with the terms and conditions of participating in the Supercar Driving Experience,  including signing any additional waivers as determined by SpeedVegas.  At the time a potential winner attempts to claim the prize, SpeedVegas may disqualify any potential winner who does not meet SpeedVegas’ requirements for participation, including but not limited to, failure to produce a drivers license, display of poor driving ability, intoxication, or other reckless and negligent behavior.  See https://speedvegas.com/terms-and-conditions.html for more information.
11. PUBLICITY:  Except where prohibited, participation in the Contest constitutes entrants consent for SQUIRE and its designees to use entrant’s name, entrant’s barbershop’s name, prize information, likeness, logo, city and state of residence, video, voice and any other comments or other feedback related to the Contest or participation in the prize experience for promotional purposes in any media without further consideration.
12. RAIN OUT AND/OR FORCE MAJEURE RELATING TO PRIZE: SQUIRE reserves the right to cancel the prize at any time due to weather or other force majeure event.  Squire will not be responsible nor bear any liability in the event of inclement weather, including but not limited to, excessive rain, wind, sleet, snow, tornadoes or other weather events or force majeure events which may cause SpeedVegas to cancel or postpone each Supercar Driving Experience.  For purposes of this paragraph, a “force majeure event” is any unforeseeable circumstance that is beyond the control of SQUIRE and/or SpeedVegas.
13. GENERAL CONDITIONS RELATING TO CONTEST:  In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but, not limited to, fraud, outbreak of widespread illness, pandemic, civil unrest, or other similar occurrence, technical failures, regularly-scheduled maintenance, virus or other technical problem, SQUIRE may, in its sole discretion, either: (a) suspend the Contest to address the impairment, then resume the Contest; or (b) cancel the Contest. The Sponsor reserves the right in its sole discretion to disqualify any entrant it finds to be tampering with the application process or the operation of the Contest or to be acting in violation of the Official Contest Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine or damage the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, SQUIRE reserves the right to seek damages from any such person to the fullest extent permitted by law. SQUIRE's failure to enforce any term of these Official Contest Rules shall not constitute a waiver of that provision. 
14. LIABILITY RELEASE: Except where prohibited, entrants agree to release and hold harmless the SQUIRE Parties and SpeedVegas (the “Released Parties”)  from and against any claim or cause of action arising out of participation in the Contest or receipt or use of or participation of any prize, including but not limited to (a) death, or injury or damage to persons or property which may be caused directly or indirectly in whole or in part from entrant’s participation in the Contest or receipt or use of or participation in any prize; (b) technical errors; (c) unauthorized human or cyber attack intervention in the administration of the Contest. In no event shall the Released Parties be liable or any of your attorney’s fees.  Entrant waives the right to claim any damages, whatsoever, for punitive, consequential, direct, or indirect damages.
15. DISPUTES: Entrant agrees that (a) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or the appropriate New York State Court located in Manhattan, New York; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Contest Rules, or the rights and obligations of the entrant and SQUIRE in connection with the Official Contest Rules, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
